Is this poncho compatible with the helikon-tex swagman roll?

Yes it is. They are designed to work together. The toggles on the swagman roll slip through the grommets on the helicon-Tex poncho. If you have access to YouTube Corporals Corner has great videos on both products.

Is it breathable like gore-tex?

This Pancho is actually a bit more breathable than Gore-Tex and much lighter as well

Where are the grommets located?

They are located equidistant around the outer edge.
